USE OF SUNFLOWER OIL
Oil Sunflower oil is considered a noble
and is widely used in food, having application in preserves,
margarine, salad, fried, boiled, fine dishes, besides being a great
table oil, as well as applications in various purposes in cosmetics,
pharmaceutical, food, veterinary medicine, the manufacture of paints,
soaps, as base oil for massage, among many others.
Among all vegetable oils, Sunflower Oil is regarded as one of the
oils of higher nutritional quality, and better flavor and it helps
in the prevention of cardiovascular diseases and in controlling
cholesterol level in blood. |

USE OF OLIVE OIL
Spain has a long tradition in the
preparation of olive oil. The cultivation of olive trees dating back
six thousand years ago, although since the prehistoric wild olive
trees existed. Currently, Spain is the world's leading producer of
olive oil, exporting to over 100 countries and is among the first
Italy, France, United States, Japan and Australia. Located in Spain
reputable agencies that verify the quality of the product, including
the headquarters of the International Council for Olive Oil.
The Spanish cuisine is widely known by the use of olive oil, one of
the reasons why your kitchen is so healthy. Olive oil is also one of
the basic ingredients of many entries, such as the famous "Tortilla
de Patata" for example. In addition, many vegetables and fish are

COMMERCIAL PROCEDURES AND WARRANTIES
OF THE PARTIES |

|
|
|
1ª. The Buyer
sends LOI (Letter Of Intent) or ICPO (Irrevocable Corporate Purchase
Order) + BCL (Bank Comfort Letter)+ RWA (Ready Willing and Able) +
NCNDA (Non-Circumvention, Non-Disclosure working Agreement) + IMPFA
(Irrevogable Master Fee Protection Agreement) + Passport copy of
Buyer and Intermediaries.
2ª. The seller after receiving ICPO + RWA + BCL, assess the
financial strength of the buyer, at its own expense.
3ª. If the buyer is approved, the vendor will formally "FCO (Full
Corporate Offer) or" Draft "(Draft Contract) and will allow the
programming to provide the product.
4ª. After the "Contract" signed by the parties, the seller
sends the "Invoice (Invoice) to the buyer request the issuance of "LC"
(Letter of Credit)*.
#. The "LC" (Letter of Credit) is an agreement whereby a bank,
acting at the request of an importer and in accordance with the
instructions under the contract, undertakes to make a payment to an
exporter against presentation of a series of documents and
procedures required within a specified time limit, provided they
comply with the terms and conditions of credit. The "LC" in
principle may be issued as non-operational and will be activated
later in the presentation of "POP" (Proof of Product).
5ª. The seller sends the "2% PBG (Performance Bond) to the
security of the buyer. It is a guarantee which ensures that the
vendor will comply with the terms of the contract. Typically issued
in value of the shipment, in case the vendor break the contract and
do not supply the product that was stipulated in the contract. A "PBG
2%" is only enabled after the "LC" (Letter of Credit) issued by the
buyer's bank is approved. This approval is made between banks via "SWIFT".
6ª.
Payments will be
by Irrevocable, LC (Letter of Credit), transferable, confirmed,
unconditional, irrevocable, divisible, active, operative and issued
by one of the Top 50 World Banks, fits within the Contract. Payments
auto rotating 100% will be released to the seller at the destination
port via POP, the amount of each BL (Bill of Landing), SGS (Quality
Certificate) or equivalent international certification, together
with all documents and export procedures as detailed in the contract.

Are not
available or planned. The ultimate proof of the product is provided
by PRIME BANK seller, stating that the same will be delivered
according to specifications in the contract.
PROOF OF PAST
PERFORMANCE:
Our suppliers will NOT provide historical data such as invoices for
shipments in the past (BL's), invoices from shippers, reports from
SGS, lab tests, Performance Bonds, POP's, Contracts, etc.., Or any
such document which may be plagiarized or falsified by others.

PROCEDIMENTOS COMERCIAIS E GARANTIAS
DAS PARTES |

1ª. O Comprador emite LOI
(Carta de Intenção) ou ICPO (Pedido Irrevogável de Compra) + BCL
(Carta Bancária de Capacidade Financeira) + RWA (Autorização de
Verificação de Crédito) + NCNDA (Contrato de Confidencialidade e
Integridade) + IMPFA (Contrato de Parceria e Comissionamento) +
Cópia do Passaporte do Comprador e dos Intermediários.
2ª. O vendedor após receber a ICPO + RWA + BCL, avaliará a
capacidade financeira do comprador, as suas expensas.
3ª. Se o comprador for aprovado, o vendedor formalizará a "FCO"
(Oferta Corporativa Completa) ou "Draft" (Minuta do Contrato) e
reservará na programação o fornecimento do produto.
4ª. Após o "Contrato" assinado pelas partes, o vendedor envia
a "Invoice" (Fatura) para o comprador solicitar a emissão da "LC"
(Carta de Crédito)*.
#. A "LC" (Carta de Crédito) é um convênio por meio do qual um
banco, atuando a pedido de um importador e em conformidade com as
instruções contratuais, se compromete a efetuar um pagamento a um
exportador contra a apresentação de uma série de documentos e
procedimentos exigidos dentro de um limite de tempo especificado,
desde que se cumpram os termos e as condições do crédito. A "LC" a
princípio pode ser emitida como não operativa e posteriormente será
ativada na apresentação da "POP" (Prova do Produto).
5ª. O vendedor emite a "PBG 2%" (Garantia de
Execução) para a
segurança do comprador. Ela é uma caução que garante que o vendedor
irá cumprir os termos do contrato. Normalmente, emitida no valor de
um carregamento, no caso em que o vendedor quebre o contrato e não
forneça o produto que foi estipulado no contrato. A “PBG 2%” somente
é habilitada depois que a "LC" (Carta de Crédito) emitida pelo banco
do comprador for aprovada. Essa aprovação é feita entre bancos via “SWIFT”.
6ª. Os pagamentos serão por irrevogável, LC (Carta de
Crédito), transferível, confirmada, incondicional, irrevogável e
divisíveis, ativo, operante e emitido por uma dos 50 Top Bancos
Mundial, se encaixa dentro do contrato. Pagamentos auto rotação de
100% será liberado para o vendedor no porto de destino via POP, o
montante de cada BL (Conhecimento de Embarque), SGS (Certificado de
Qualidade) ou certificação internacional equivalente, juntamente com
todos os documentos e procedimentos de exportação, conforme
detalhado no contrato.

Não estão disponíveis nem
previstas. A prova irrefutável do produto é fornecida pelo PRIME
BANK do vendedor, que atesta que o mesmo será entregue de acordo com
as especificações em contrato.
PROVA DE DESEMPENHO PASSADO: Nossos
fornecedores NÃO irão apresentar dados históricos tais como faturas
de carregamentos passados (BL’s), faturas de carregamentos
marítimos, relatórios da SGS, exames de laboratório, PBG, POP’s, Contratos, etc., ou todo e qualquer exemplo de
documento que possam ser plagiados ou falsificados por terceiros. |
